The following notification is made in accordance with DR 3.1.4R(1)(a).

Restricted Stock Plan

On 2 October 2014 the PDMR listed in the table below was granted an award

over ordinary shares of 10p each in the Company (the "Award") under the Premier Foods Restricted Stock Plan (the "RSP").
