In accordance with the Financial Conduct Authority's ("FCA") Disclosure and Transparency Rule 5.6, we hereby notify the market of the following:

As at close of business on 30 September 2014, Direct Line Insurance Group plc's issued share capital consisted of 1,500,000,000 ordinary shares of 10p each ("Shares").  All of these Shares carry voting rights of one vote per Share. Direct Line Insurance Group plc does not hold any Shares in treasury. Therefore, the total number of voting rights in Direct Line Insurance Group plc is 1,500,000,000.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interest in, or a change to their interest in, Direct Line Insurance Group plc under the FCA's Disclosure and Transparency Rules.
