SERCO GROUP PLC: VOTING RIGHTS AND CAPITAL

In conformity with Rule 5.6.1 of the Financial Conduct Authority's Disclosure Rules and Transparency Rules, Serco Group plc (the "Company") is required to notify the market of the following:

As at 30 September 2014 the Company's issued share capital consisted of 549,262,103 ordinary shares of 2p each with voting rights.  The Company holds no shares in treasury. Therefore the total number of voting rights in the Company as at 30 September 2014 was 549,262,103 (the "Voting Rights Figure").

The Voting Rights Figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Rules and Transparency Rules.
