M&C Saatchi PLC ("M&C Saatchi" or "the Company")

Additional Listing and Director Dealings

Application has been made to the London Stock Exchange for the Admission of 641,492 new ordinary shares of 1p each in the Company (the "New Shares") to trading on AIM. The New Shares have been issued to employees of the Company in part to fulfil options and in part as consideration for capital interests in some of

M&C Saatchi's UK group subsidiaries. Admission of the New Shares is expected to become effective on 19 September 2014.

As part of this transaction Jamie Hewitt, a director of the Company, will receive 47,689 ordinary shares of 1p each in the Company, following which Mr Hewitt's total holding in the Company is 157,174 ordinary shares of 1p each in the Company representing approximately 0.23% of the issued share capital of M&C Saatchi.

The total number of ordinary shares in issue on the date of admission of the New Shares will be 67,955,623. Of this total, 700,000 ordinary shares are held in treasury. Therefore, the total number of ordinary shares in issue with voting rights will be 67,255,623.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company, under the Disclosure and Transparency Rules.
