NOTIFICATION OF TIMING OF CHANGES IN DIRECTORS' ROLES AND RESPONSIBILITIES

Effective from the conclusion of the Annual General Meeting to be held on 18 November 2014, Mr D.J. Challen will retire as Chairman of the Audit Committee of Smiths Group plc and Mr W.C. Seeger will succeed him as Chairman of that committee.  Mr Challen will continue to be a member of the Audit Committee and the Senior Independent Director of the Company. (Mr Seeger was appointed as a non-executive director and member of the Audit Committee on 12 May 2014.)
