1.         2004 Executive Share Option Plan - exercise of share options

Ricardo PLC (the "Company") announces that on 11 September 2014, Mark Garrett, one if its Executive Directors, acquired a total of 7,068 ordinary shares of 25 pence each in the Company ("Shares") at a price of £3.05 per Share pursuant to the exercise of share options granted under the terms of the Company's 2004 Executive Share Option Plan (the "Plan"). These options, which were granted pursuant to the Plan on 22 October 2008, first became exercisable in 2011 following the satisfaction of certain EPS based performance conditions.   

Following the exercise of this option, all 7,068 of the above Shares were sold at a price of £6.347 per Share on behalf of the Executive Director concerned on 11 September 2014. 

2.         Net current total holdings of Shares

Following the above notifications, the total holding of Shares of the relevant Executive Director is unchanged as follows:
