Exercise of Share Options

NCC Group plc (LSE: NCC or "the Company") announces that on 8 July 2014 it transferred to the trustees of the NCC Group Employee Benefit Trust 571,814 ordinary shares of 1 pence each ("Ordinary Shares"). The shares were all formerly held as Treasury shares. Following this transfer NCC holds a total of 28,186 Ordinary Shares in Treasury and will have 208,442,136 Ordinary Shares with voting rights in issue (excluding Treasury shares).

On the same day the Directors/Persons Discharging Managerial Responsibilities ("PDMRs") listed below were awarded the following shares by the Trustee of the Company's Long Term Incentive Plan ("the Trustee") pursuant to options granted on 11 July 2011 and 22 September 2011. The options were exercised on 7 July 2014 and the exercise price was £1.00 per director/PDMR on the occasion of exercise.
