04 July 2014 Pendragon PLC ("the Company") Additional Listing & Total Voting RightsA listing application has been made today by the Company for 1,260,243 ordinaryshares of 5 pence each in the Company to be admitted to the Official List ofthe UK Listing Authority and to trading on the London Stock Exchange on 09 July2014. The shares will be issued fully paid and will rank pari passu in allrespects with the existing issued ordinary shares of the Company. The sharesare anticipated to be admitted to listing on 07 July 2014. This figurerepresents shares issued pursuant to the exercise of warrants on 03 July 2014that were issued to the Company's lenders as part of the refinancing of bankfacilities in 2009.Following the issue of 1,260,243 ordinary shares and their admission totrading, the Company has 1,457,105,895 ordinary shares of 5 pence each inissue, representing a total ordinary share capital of £72,855,294.75. Thevoting rights attached to the ordinary shares are on the basis of one vote pershare, representing total voting rights of 1,457,105,895.
