Voting rights and Capital at 30 June 2014

WPP plc (the "Company") announces that it has today cancelled 13,500,000 shares, previously held in Treasury, representing 1% of Issued Share Capital with immediate effect.  Following this cancellation, the Company confirms that its capital consists of 1,336,319,897 ordinary shares with voting rights.  WPP holds 13,633,440 of its ordinary shares in Treasury.  Therefore the total number of voting rights in WPP is 1,322,686,457 shares. 

The figure 1,322,686,457 may be used by share owners as the denominator for the calculations by which they will determine if they are required to notify their interest in WPP, under the FCA's Disclosure and Transparency Rules.
