Notification of transactions by PDMR

This notification is being made in accordance with DTR 3.1.4(a).

Performance share awards

On 30 May 2014, performance share awards ("Awards") over ordinary shares of 1.5625 pence each in Domino's Pizza Group plc (the "Company") were made to certain Directors ("PDMRs") as follows:

The Part A LTIP Awards were each granted under and subject to the terms of Part A of the Domino's Pizza Group plc Long Term Incentive Plan 2012 (the "LTIP").

The Recruitment Awards were each granted under separate award agreements established in connection with the recruitment terms agreed for the relevant executives.

The Awards were structured as nil cost options and will normally become exercisable as from the third anniversary of grant, subject to continued employment and to the extent total shareholder return and earnings per share targets are achieved over a three year performance period.

Once vested, the Awards shall ordinarily remain exercisable until the tenth anniversary of the grant of the Awards.

No consideration was paid for the grant of the Awards and no consideration is due on the maturity of the Awards. 

The Company was informed of the above transactions on 30 May 2014.
