As of 31 May 2014 Wilmington Group plc's issued share capital with voting rights consists of 85,677,547 ordinary shares of 5p each.

425,590 ordinary shares are held in treasury and are not included in the above figure.

85,677,547 ordinary shares may be used by shareholders as a denominator for the calculations by which they will determine if they are required to notify their interest in, or change to their interest in the Company under the FSA's Disclosure and Transparency Rules.
