TRANSACTION IN OWN SHARES

Close Brothers Group plc (the 'Company') announces that on 22 May 2014 it transferred 366 ordinary shares of 25 pence each from treasury to participants in its employee share plans.  The transfer price was 590 pence.  Following the transfer of these shares, the Company holds 1,731,134 of its ordinary shares in treasury and has 148,891,449 ordinary shares in issue (excluding treasury shares).
