BAE Systems plc: Transaction in own shares

BAE Systems plc announces that on 12 May 2014 it transferred 800,000 ordinary shares of 2.5p each held in treasury to First Names Corporate Services Limited, Trustee of the BAE Systems plc ESOP Trust in connection with the operation of the BAE Systems plc Performance Share Plan, at nil consideration

Following the transfer of these shares, BAE Systems plc holds 320,554,717 of its ordinary shares in treasury and has 3,163,154,041 ordinary shares in issue (excluding treasury shares).  This figure (3,163,154,041) represents the total voting rights in the Company and may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
