Serco Group plc (the "Company")

Total Voting Rights and Capital

In accordance with DTR 5.6.1A, the Company hereby notifies the market that the total number of voting rights and capital in the Company as at the date of this announcement is 549,262,103 Ordinary Shares of 2 pence each. This is an increase of 49,932,918 shares since the previous disclosure made on 1 May 2014 resulting from the recent equity placing of new shares.

The above figure of 549,262,103 shares may be used by shareholders as the denominator for notifications of voting control over the Company's shares.  The Company does not hold any Ordinary Shares of 2 pence each in treasury and has no other category of share in issue.
