Treasury Share Transfers

Hamilton, Bermuda - The Company announces that on 3 April 2014 a transfer of 1,724,208 ordinary shares of 6p each ('Ordinary Shares') was made by the Company from Treasury to relevant participants to satisfy awards vesting under the Hiscox Ltd Performance Share Plan.

Following the transfer the Company has a total of 12,645,632 Ordinary Shares in Treasury and a total of 317,897,470 Ordinary Shares in issue, excluding Ordinary Shares held in Treasury.

In addition there are in issue 330,501,032 Deferred Shares of 2474/7921 pence each with no voting rights ('Deferred Shares'), 261,555,693 C Shares of 0.01 pence each with no voting rights ('C Shares') and 93,647,894 D Shares of 0.01 pence each with no voting rights ('D Shares').

No Deferred Shares, C Shares or D Shares are held in Treasury.

This notification is made in accordance with Listing Rule 12.6.4.
