Sale and repurchase of shares for investment into an Individual Savings Account (ISA)

Ocado Group plc ("Ocado") announces that it received notification on 3 April 2014, pursuant to Disclosure and Transparency Rule 3.1.2R, that Ruth Anderson, a non-executive director of Ocado, had sold 3,387 Ocado ordinary shares of 2p each at a price of 467.5 pence per share and subsequently on the same day, purchased the same number of Ocado shares at a price of 468.2 pence per share for the purpose of investing the shares in an ISA. Ruth Anderson has beneficial ownership of these 3,387 Ocado shares. The registered holder is Platform Securities LLP.

Including the repurchased 3,387 Ocado shares, Ruth holds direct and indirect interests in 60,000 Ocado shares, representing 0.0097% of Ocado's issued share capital.

For the purposes of DTR 3.1.3 both the sale and repurchase transactions took place in the UK on 31 March 2014.
