SERCO GROUP PLC: VOTING RIGHTS AND CAPITALIn conformity with Rule 5.6.1 of the Financial Conduct Authority's DisclosureRules and Transparency Rules, Serco Group plc (the "Company") is required tonotify the market of the following:As at 31 March 2014 the Company's issued share capital consisted of 499,329,185ordinary shares of 2p each with voting rights. The Company holds no shares intreasury. Therefore the total number of voting rights in the Company as at 31March 2014 was 499,329,185 (the "Voting Rights Figure").The Voting Rights Figure may be used by shareholders as the denominator for thecalculations by which they will determine if they are required to notify theirinterest in, or a change to their interest in, the Company under the FCA'sDisclosure Rules and Transparency Rules.
