Premier Foods plc (the "Company")

Competition approval in relation to Joint Venture

Further to its announcement on 27 January 2014, Premier Foods today announces that it has obtained competition approval from the European Commission in relation to its agreement with The Gores Group to operate its bread business1 as a stand-alone joint venture which will trade under the name of Hovis Limited (the "Joint Venture Transaction").

The Joint Venture Transaction is expected to complete by the end of April 2014.
