Premier Foods plc (the "Company")

Total Voting Rights and Capital

In accordance with the Disclosure and Transparency Rules, the Company notifies the market of the following:

As at 24 March 2014, the issued share capital of the Company comprised 316,772,216 ordinary shares of £0.10. All of these shares carry voting rights of one vote per share. The Company does not hold any shares in treasury. The above figure of 316,772,216 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure and Transparency Rules. This figure does not include the Nil Paid Rights to subscribe for new ordinary shares pursuant to the Rights Issue. A separate announcement in relation to total voting rights will be made when the Rights Issue closes and the new ordinary shares of £0.10, fully paid, are issued, which is expected to be on 8 April 2014.
