Grant of Deferred and Matching Awards

Morgan Advanced Materials plc (the 'Company') announces that on 24 March 2014 the following awards over ordinary 25p shares in the Company ('Shares') were granted to Bill Grab, Ian Robb, Peter Blausten and Simon Halliday, persons discharging managerial responsibility ('PDMRs') under the Plan.

The Awards comprise two components:

Deferred Awards granted following the PDMR's election to convert part of their bonus for the financial year 2013 into a deferred entitlement to Shares. Bill Grab's and Ian Robb's awards relate to a post-tax bonus; Peter Blausten's and Simon Halliday's awards relate to a pre-tax bonus. The Company's mid-market closing Share price on the dealing day preceding the date of grant was £3.47; and

Matching Awards, the vesting of which is linked to continued service and an Earnings per Share-based measure of growth over a three-year period. At the top end of the performance scale, the Matching Award would vest at three times the number of Shares comprised in the pre-tax Deferred Award.
