These interests include Shares acquired and then, if applicable, immediately sold (on their behalf by MEP Nominee Limited) in connection with offer of the Company's Shares in accordance with the Company's prospectus dated 28 February 2014 (the "Offer") and the admission of the Company's Shares to the premium listing segment of the Official List of the UK Listing Authority and to trading on the London Stock Exchange's main market for listed securities on 17 March 2014 ("Admission").
The Shares set out against Nick Wood's name above include 3,340,760 Shares held by his spouse, Kim Nicholson and the Shares set out against Ian Kellett's name above include 3,524,181, Shares held by IPS (2008) SIPP-IM Kellett, a SIPP established by Ian Kellett. Other than these Shares, all other Shares are held on behalf of each Director and PDMR by Computershare Company Nominees Limited, as nominee.
