Total Voting Rights and Share Capital

For the purposes of the FSA's Disclosure and Transparency Rules, the total number of ordinary shares of 25p each of Essentra plc in issue as at 3 March 2014 is 240,469,409 with each share carrying the right to one vote.

There are 4,807,211 shares held in treasury.

The total number of voting rights in Essentra plc is therefore 235,662,198.

The figure of 235,662,198 may be used by shareholders (and others with notification obligations) as the denominator for the calculations by which they will determine if they are required to notify their interest, or a change to their interest in, Essentra plc under the FSA's Disclosure and Transparency Rules.
