19 February 2014 Pendragon PLC ("the Company") Additional Listing & Total Voting RightsA listing application has been made today by the Company for 173,273 ordinaryshares of 5 pence each in the Company to be admitted to the Official List ofthe UK Listing Authority and to trading on the London Stock Exchange on 24February 2014. The shares will be issued fully paid and will rank pari passuin all respects with the existing issued ordinary shares of the Company. Theshares are anticipated to be admitted to listing on 21 February 2014. Thisfigure represents shares issued pursuant to the exercise of warrants on the 18February 2014 that were issued to the Company's lenders as part of therefinancing of bank facilities in 2009.Following the issue of 173,273 ordinary shares and their admission to trading,the Company has 1,439,245,652 ordinary shares of 5 pence each in issue,representing a total ordinary share capital of £71,962,282.60. The votingrights attached to the ordinary shares are on the basis of one vote per share,representing total voting rights of 1,439,245,652.
