EBT Share Purchase

The Company has been notified by RBC cees Limited, the trustees of the Brooks Macdonald Group Employee Benefit Trust (the "Trust"), that on 1 November 2013 the Trust completed the purchase of 30,000 ordinary shares of 1 pence each in the Company ("Ordinary Shares") at a price of 1,453p each.

Following this purchase the Trust holds 242,172 Ordinary Shares representing 1.81% of the Company's current voting rights.

The Directors of the Company are potential beneficiaries of Ordinary Shares held in the Trust.
