Pembroke VCT plc (the "Company")

Issue of Ordinary Shares of 1p each ("Ordinary Shares") pursuant to an Offer for Subscription to raise up to £20 million (the "Offer")

An allotment of shares took place on 25 October 2013 in respect of 395,000 Ordinary Shares pursuant to the Offer. The Offer price at which the Ordinary Shares were allotted was 100p per share.

Following the allotment announced above, the total number of Ordinary Shares in issue (including 2 Ordinary Shares issued as subscriber shares) is 14,467,002 which represent the total voting rights of the Company.

Application for the Ordinary Shares to be admitted to the Official List of the UK Listing Authority and to trading on the London Stock Exchange's market for listed securities will be made shortly and dealings are expected to commence on or around 31 October 2013.  CREST accounts are expected to be credited within five business days of allotment and definitive documents of title are expected to be dispatched within ten business days of allotment.

The Offer will remain open, as permitted under the prospectus, until no later than 31 January 2014, subject to earlier closure at the discretion of the directors.
