Exercise of Darwin Warrants

Westminster Group Plc ('Westminster' or 'the Company'), the AIM listed supplier of advanced security and defence equipment, services and solutions worldwide announces an exercise of warrants and conversion into ordinary shares.

The Company has been informed that under the terms of the agreement with Darwin Strategic Limited ("Darwin") which was announced on 18 April 2013, and further to the grant of warrants arising from that agreement which was announced on 10 October 2013, that Darwin has exercised the following warrants;

·     120,000 with an exercise price of 50 pence

·     3,600 with an exercise price of 43.7 pence

Consequently 123,600 ordinary shares ("New Shares") of 10 pence each will be issued and the Company has received subscription proceeds of £61,573.

Application has been made to the London Stock Exchange for the New Shares to be admitted to trading on AIM. It is expected that the admission will become effective and that trading in the New Shares will commence on or around 21 October 2013 ("Admission").

Total Voting Rights

Following Admission of the 123,600 New Shares, the Company's enlarged issued share capital will comprise of 45,278,105 ordinary shares with voting rights. This figure of 45,278,105 ordinary shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
