("Breedon" or the "Company")

Issue of Equity

As announced by the Company on 9th and 24th September 2013 in relation to the participation shares, the Company has now applied for 58,971,399 ordinary shares of no par value ("Ordinary Shares") to be admitted to the London Stock Exchange for trading on AIM ("Admission").  It is expected that Admission will occur at 8.00am on 30 September 2013 and the Ordinary Shares will rank pari passu with the existing ordinary shares in the Company.

Following the issue of the participation shares, there will be 1,006,720,790 Ordinary Shares in issue. This number may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company.
