Share Awards

This notification is made in accordance with DTR 3.1.4(1)(a) and DTR 3.1.4(1)(b).

On 19 September 2013, awards over 248,645 ordinary shares in Wilmington Group plc (the "Company") were made under the Wilmington Group plc 2007 Performance Share Plan (the "Plan") to employees of the Group of which the following were made to Directors of the Company and other Persons Discharging Managerial Responsibility ("PDMRs"):

No consideration was paid for the grant of the award which is structured as a conditional award.

The vesting of an award is subject to the satisfaction of performance conditions set by the Remuneration Committee of the Company. The award will normally vest on the later of the third anniversary of grant and the determination of the performance conditions.
