NOTIFICATION OF TRANSACTIONS OF PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES OR THEIR CONNECTED PERSONS

Vesting of Award under the QinetiQ Group plc Stock Award Plan (the 'Plan') and Sale of Shares

On 13 September 2013, QinetiQ Group plc (the "Company") received notification of the following transactions relating to a person discharging managerial responsibilities of the Company:

On 12 September 2013, Jack Crouch acquired 11,250 ordinary shares of 1p each in QinetiQ Group plc ('Shares') on the vesting of the first tranche of an allocation of Shares granted on 12 September 2012 under the Plan.

On 12 September 2013, Jack Crouch sold 3,639 Shares (0.00055% of the issued share capital) at a price of 192.45p per Share.

As a result of the above transactions, the aggregate number of Shares held beneficially by Jack Crouch is 30,980 Shares, being 0.0046% of the issued share capital.
