NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

Hays plc (the "Company")

DEFERRED ANNUAL BONUS ("DAB") AWARDS

On 6 September 2013, the following Directors and Persons Discharging Managerial Responsibility ("PDMRs") were granted share awards under the Company's DAB based on the achievement of performance targets under the Company's annual bonus arrangements for the financial year ended 30 June 2013. These Awards equate to 40% of the total bonus received by each Director and PDMR and grant each recipient a conditional right to receive shares under the Awards at the end of a three year deferral period. The awards have been calculated using a market price of 106.70 pence per share.
