Exercise of Warrants

Ground Rents Income Fund plc ("GRIF" or the "Company"), announces that it has received Warrant exercise notices and subscription monies in respect of 1,183,798 Ordinary Shares of 50p par value (the "New Ordinary Shares").  The Warrants have been exercised at an exercise price of £1.00 per share with an exercise date of 31 August 2013. The net proceeds that will be received by the Company following the exercise is £1,183,798.

The New Ordinary Shares will rank pari passu with the existing Ordinary Shares in the Company. 

Application has been made for the New Ordinary Shares to be admitted to listing on the Official List of the CISX and to trading on the SETSqx platform of the London Stock Exchange. It is expected that Admission will take place at 8.00am on 3 September 2013.

Following Admission, the Company will have 49,426,098 Ordinary Shares in issue, 8,464,662 Warrants in issue and 38,550,000 Convertible Preference Shares in issue.
