ANNOUNCEMENT OF ANNUAL RESULTS AND RECOMMENDATION OF DIVIDEND

On Wednesday 18 September 2013 the Company plans to release a preliminary statement of the annual results of the Company for the financial year ended 31 July 2013.  The statement will contain the recommendation of the Board of Directors for a final dividend on the ordinary shares for the same period.

The announcement will include key, regulated information that the Company is required to publish in unedited full text under DTR 6.3.5(2)(b) and may be viewed online at the Company's website, www.smiths.com, after its release.  The material contained in the announcement will not constitute the Company's annual financial statement, required under the Companies Act 2006, and will not be a substitute for reading the Annual Report 2013, which will be published on or around 14 October 2013 and will be available to view and download from www.smiths.com.

Subject to approval at the 2013 Annual General Meeting, the 2013 final dividend will be paid on 22 November 2013 to ordinary shareholders registered at the close of business on 25 October 2013.  The 'ex-dividend' date will be 23 October 2013.

ANNUAL GENERAL MEETING

The Annual General Meeting of Smiths Group plc for 2013 will be held at 9:30 a.m. on Tuesday 19 November 2013 at the Northcliffe House Auditorium of the law firm, Freshfields Bruckhaus Deringer, 26-28 Tudor Street, London EC4Y 0BQ.
