NOTIFICATION OF TRANSACTIONS OF PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES OR THEIR CONNECTED PERSONS

Vesting of Award under the QinetiQ Group plc Stock Award Plan (the 'Plan') and Sale of Shares

On 28 August 2013, QinetiQ Group plc (the "Company") received notification of the following transactions relating to a person discharging managerial responsibilities of the Company:

On 27 August 2013, Jack Crouch acquired 21,250 ordinary shares of 1p each in QinetiQ Group plc ('Shares') on the vesting of the third tranche of an allocation of Shares granted on 26 August 2010 under the Plan.

On 27 August 2013, Jack Crouch sold 6,867 Shares (0.001% of the issued share capital) at a price of 188.01p per Share.

As a result of the above transactions, the aggregate number of Shares held beneficially by Jack Crouch is 23,369 Shares, being 0.0035% of the issued share capital.
