Issue of Equity

Utilitywise, a leading independent utility cost management consultancy, announces that it has today issued 166,666 ordinary shares of 0.1 pence each in the capital of the Company ("Ordinary Shares") to finnCap Ltd pursuant to the exercise of warrants over such shares (the "Warrant Shares").

Application has been made for the Warrant Shares to be admitted to trading on the AIM Market of the London Stock Exchange ("Admission") and it is expected that Admission will occur and dealings in the Warrants Shares will commence on 19 August 2013. The Warrant Shares will rank pari passu with the existing Ordinary Shares currently in issue.

Following Admission, there will be 72,024,744 Ordinary Shares in issue. There are no Ordinary Shares held in treasury and so the total number of voting rights in the Company will be 72,024,744.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
