Block Listing Application

NCC Group plc announces that an application has been made to the UK Listing Authority ("UKLA") and the London Stock Exchange for the listing of 1,220,160 ordinary shares of 1 pence each fully paid ("Ordinary Shares") to trade on the London Stock Exchange and to be admitted to the Official List of the UKLA.

1,020,160 of these shares are being reserved under an extension to an existing block listing and will be issued as a result of the exercise of share options pursuant to the following schemes:

152,782            NCC Group plc Enterprise Management Incentive Plan

28,092              NCC Group plc Company Share Option Plan

200,000 of these shares are being reserved under a new block listing and will be issued as a result of the exercise of share options pursuant to the following schemes:

100,000             NCC Group plc Incentive Stock Option Plan

100,000             NCC Group plc Employee Stock Purchase Plan

It is expected that admission of these ordinary shares will become effective on 22 July 2013. These shares, which will rank pari passu with the existing ordinary shares in issue, will be allotted from time to time in accordance with the exercise of options under the NCC Group plc Sharesave plan, the NCC Group plc Enterprise Management Incentive Plan, the NCC Group plc Company Share Option Plan, the NCC Group plc Incentive Stock Option Plan and the NCC Group plc Employee Stock Purchase Plan.
