Result of AGM

Churchill China plc (AIM: CHH), the manufacturer of innovative performance ceramic products serving hospitality markets worldwide, confirms that all resolutions at its Annual General Meeting held earlier today were duly passed.

Whilst Resolution 4 to re-elect Brendan Hynes was passed with a clear majority, the Board recognises that there was also a significant vote against this resolution as Brendan has now served ten months over nine years. The Board will engage with shareholders who voted against to hear their views and articulate the background to Brendan's continued role. This is predominately due to delays to Board succession brought about by the pandemic, the number of recent Board changes as a consequence and the need for Audit Committee Chair continuity while a new CFO is inducted. The Annual Report also sets out the timescale for recruitment of his replacement. 

With the conclusion of the AGM, the Company is pleased to confirm the appointment of Michael Cunningham as a Board Director and Chief Financial Officer of the Group with immediate effect.
