("Breedon" or the "Company")

Director and PDMR Dealings

The Company announces that on 19 April 2022 certain Directors and PDMRs of the Company were allotted a total of 550,476 new ordinary shares of no par value in the Company ("Ordinary Shares") as a consequence of the vesting of awards made under the Company's Performance Share Plan in 2019.

The table below sets out the number of new Ordinary Shares that each Director and PDMR has received:

Consequently, Rob Wood, Chief Executive Officer of Breedon will have an interest in 1,353,633 Ordinary Shares representing approximately 0.08 per cent of the issued share capital of the Company.

The Company has also awarded a total of 1,028,576 new Ordinary Shares, as a consequence of the vesting of awards, to other current employees and former employees.

Following the allotment above, there will be 1,691,438,486 Ordinary Shares in issue, of which none are held in treasury. Therefore the figure of 1,691,438,486 may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company.
