Holdings in the Company

Breedon has been informed by Abicad Holding Limited ("Abicad") that on 12 April 2023, Abicad acquired (i) 7,200,000 ordinary shares of no par value ("Ordinary Shares") in the issued share capital of Breedon at a price of 71.30 pence per Ordinary Share and (ii) 11,000,000 Ordinary Shares at a price of 70.90 pence per Ordinary Share (together, the "Transactions"). In aggregate, Abicad acquired 18,200,000 Ordinary Shares at a weighted average price of 71.06 pence per Ordinary Share. On settlement of the Transactions (expected on 14 April 2023), Abicad will hold 194,995,429 Ordinary Shares, equivalent to 11.51% of Breedon's total issued share capital. Abicad's current board representative is Amit Bhatia, who is the Non-executive Chairman of Breedon.

As at today there are 1,694,399,580 Ordinary Shares in issue, none of which are held in treasury.  This figure may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company.
