Issue of a Second Supplementary Prospectus

The Company announces that it has published a further supplementary prospectus (the "Second Supplementary Prospectus") relating to the offer for subscription to raise up to £20 million together with an over-allotment facility of up to a further £10 million which the Company announced on 7 September 2023 (the "Offer").

This Second Supplementary Prospectus is a regulatory requirement under the Prospectus Regulation Rules and Section 87G of Financial Services and Market Act 2000 following the publication of the annual report and accounts for the year ended 31 December 2023 by the Company.

Copies of the Second Supplementary Prospectus and the Company's accounts for the year ended 31 December 2023 have been submitted to the Financial Conduct Authority and the Second Supplementary Prospectus will shortly be available for inspection at the National Storage Mechanism, which is located at:  https://data.fca.org.uk/#/nsm/nationalstoragemechanism .

Copies of this Second Supplementary Prospectus together with the prospectus, as supplemented by a first supplementary prospectus dated 2 February 2024 (containing details of the Offer) are available free of charge from the offices of the Company's investment manager, Blackfinch Investments Limited, at 1350-1360 Montpellier Court, Gloucester Business Park, Brockworth, Gloucester, Gloucestershire, GL3 4AH and the Company's website: https://blackfinch.ventures/vct .
