BANGO PLC

Exercise of Warrants, Issue of Equity and Total Voting Rights

Bango plc (AIM: BGO) ("Bango"), the global platform for data-driven commerce, announces that warrants have been exercised over 3,695 new ordinary shares of 20 pence each in Bango ("Ordinary Shares"), with an exercise price of 180 pence per Ordinary Share. Proceeds of £6,651.00 have been received by Bango in respect of this warrant exercise.

These warrants were issued in connection with Bango's acquisition of Audiens SRL as announced on 24 January 2018. Following this warrant exercise there remain 508,374 warrants over Ordinary Shares exercisable for a period of 10 years from the date of acquisition (23 January 2018).

The new Ordinary Shares will rank pari passu in all respects with Bango's existing Ordinary Shares.

Application has been made for these 3,695 Ordinary Shares to be admitted to trading on AIM ("Admission") and it is expected that Admission will occur on 12 August 2021.

Total Voting Rights

Following Admission, Bango's enlarged issued share capital is expected to comprise 75,877,158 Ordinary Shares, with one voting right per Ordinary Share. Bango does not hold any Ordinary Shares in treasury and therefore the total number of Ordinary Shares with voting rights in Bango is 75,877,158.

The above figure of 75,877,158 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of Bango under the FCA's Disclosure Guidance and Transparency Rules.

About Bango

The world's largest online merchants, including Amazon (NASDAQ: AMZN), Google (NASDAQ: GOOG) and Microsoft (NASDAQ: MSFT), use Bango technology to acquire more paying users.

Bango has developed unique purchase behavior technology that enables millions more users to buy the products and services they want, using innovative methods of payment including carrier billing, digital wallets and subscription bundling. Bango harnesses this purchase activity into valuable marketing segments, called Bango Audiences. Merchants use these audiences to target their marketing at paying customers based on their purchase behavior. Better targeting increases spend through the Bango payments business, in turn generating more data insights, creating a powerful virtuous circle that drives continuous growth. Everyone connected to the Bango Platform thrives as the virtuous circle grows.
