Bharti Airtel Limited holds 100% voting rights in Network i2i Limited, which in turn holds 100% voting rights in Airtel Africa Mauritius Limited, a major shareholder of Airtel Africa plc.

This disclosure under DTR 5 is being given pursuant to change in the total outstanding share capital of Airtel Africa plc and consequent increase in the voting rights of Airtel Africa Mauritius Limited (from 56.02% to 57.06%) on account of purchase of its own shares by Airtel Africa plc under share buy-back programme which commenced on March 01, 2024 and concluded on October 29, 2024. We wish to submit that there is no fresh acquisition made by Bharti Airtel Group in Airtel Africa plc.

The shareholding percentages in this notice are calculated on the basis of 3,689,316,704 ordinary shares of Airtel Africa plc. In this notification, figures are rounded to the nearest 2 decimal places. Any discrepancies in aggregated figures are due to rounding.
