Issue of Shares and Total Voting Rights

Chariot Limited confirms the completion of the acquisition of ENEO, as detailed in the announcement on 30 January 2023, with 2,267,694 new ordinary shares in Chariot to be issued to the vendor as initial consideration. Application has been made for the shares to be admitted to trading on AIM ("Admission"), with Admission expected to occur on 24 February 2023. The shares will rank pari passu with the Company's existing Ordinary Shares.

Upon Admission, the Company will have 962,108,785 Ordinary Shares in issue with no shares held in treasury. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
