QinetiQ Group plc (the "Company" or "QinetiQ")

Transfer of Shares from Treasury to EBT and Total Voting Rights

QinetiQ announces that, on 31 July 2020 it transferred 3,755,574 QinetiQ ordinary shares from Treasury to the QinetiQ Group Employee Benefit ("EBT"), in connection with the funding of scheduled award vestings under QinetiQ's various employee share schemes. The transfer price was nil.

As a result of the above, QinetiQ no longer holds any shares in Treasury. The number of ordinary shares in issue remains the same and the total number of voting rights in the Company is 571,757,121. This is the number, which may be used by shareholders as the denominator for calculations by which they will determine if they are required to notify their interest in, or a change to their interests in, the Company under the FCA's Disclosure and Transparency Rules.
