Update on General Meeting voting outcome

In accordance with Provision 4 of the UK Corporate Governance Code, the Company is providing the following update to the General Meeting voting results in November 2019 regarding the significant vote against both resolutions which were put to shareholders at the General Meeting, namely:

Resolution 1: to re-appoint Mr A. W. Powell as a director of the Company; and

Resolution 2: to re-appoint Mrs M.L. Jarvis as a director of the Company.

At the General Meeting, both Mr A.W. Powell and Mrs M.L. Jarvis were re-elected as directors of the Company.

Prior to the General Meeting in November 2019, the Company had identified, as far as possible, those shareholders who did not support the resolutions and attempted to engage with them to seek their views. The offer was declined and they indicated they did not wish to engage further. The Company remains committed to shareholder engagement and has offered and will continue to offer to meet and consult with shareholders to take into account their concerns and considerations in the future.
