("Tribal", the "Company" or the "Group")

Issue of Equity and Total Voting Rights

Tribal (AIM: TRB), a leading provider of software and services to the international education market, announces that it has issued 1,339,286 new ordinary shares of 5p each in the capital of the Company ("Consideration Shares") in satisfaction of the deferred consideration for the acquisition of Tribal Campus Pty Limited (formerly Sky Software Pty Limited). The Consideration Shares have been issued following the achievement of the performance condition, which was measured over a period of three years from acquisition, which was announced on 30 June 2017.

Application has been made for the 1,339,286 Consideration Shares to be admitted to trading on AIM ("Admission") and it is expected that Admission will occur on or about 1 June 2020. The Consideration Shares will rank pari passu in all respects with the existing ordinary shares of the Company.

Total voting rights

The total enlarged issued share capital of the Company following Admission will be 205,548,309 ordinary shares.  The Company does not hold any ordinary shares in treasury.  Therefore, the total number of ordinary shares in the Company with voting rights will be 205,548,309.  This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure and Transparency Rules of the UK Financial Conduct Authority.
