ZEGONA ANNOUNCES CHANGES TO DELIVER A MORE INDEPENDENT BOARD

Zegona is reshaping its Board and Committees to create a more independent structure in line with good corporate governance. 

·	Zegona has recently appointed two new independent Non-Executive Directors, Kjersti Wiklund and Suzi Williams, with very strong industry and governance credentials. Two directors are also stepping down from the Board, Murray Scott and Mark Brangstrup Watts. This leaves Zegona with a more effective and efficient board structure with two Executive Directors and four fully independent Non-Executives.
·	Suzi Williams will become the chair of the Nomination and Remuneration Committee at the next AGM on 9th June 2020. In addition, Zegona intends to appoint one of its Non-Executives as a Senior Independent Director and expects to announce the appointment after its AGM.
·	With these changes, all non-executive directors and all Board committees are fully independent. Zegona believes this is the right board structure to support its future development.
