Issue of shares following completion of the acquisition of Shulmans LLP

Knights, one of the UK's fastest growing legal and professional services businesses, is pleased to confirm that the acquisition of Shulmans LLP ("Shulmans") has now completed, in line with the timeframe announced in the acquisition announcement of 5 March 2020. Accordingly a total of 1,437,016 new ordinary shares of 0.2 pence each have been issued to the vendors of Shulmans to satisfy the share-based consideration on the acquisition.

In addition a total of 2,554 new ordinary shares of 0.2 pence each have been issued pursuant to the exercise of restricted stock awards granted by Knights in relation to the acquisition of Spearing Waite LLP.

Application has been made for the admission to trading on AIM of these 1,439,570 shares which is expected to occur on 27 April 2020. Following admission, Knights will have 82,076,335 shares in issue. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interests in, the Company under the FCA's Disclosure and Transparency Rules
