In conformity with Regulation 20 of the Transparency (Directive 2004/109/EC) Regulations 2007, UDG Healthcare plc (the 'Company') announces that:

The total number of Ordinary Shares of €0.05 each in issue as at 1 April 2020 is 250,625,637. Each Ordinary Share carries one vote. The Company also holds 7,528,066 Ordinary Shares in treasury, which do not carry voting rights. Therefore, the total number of voting rights in the Company is 250,625,637.

The above figure may be used by shareholders as a denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, UDG Healthcare plc under the Transparency (Directive 2004/109/EC) Regulations 2007.
