Transfer of shares and Directors' holdings

Following the vesting on 30 June 2013 of deferred interests under Mulberry's Deferred Bonus Plan, a number of ordinary shares of 5 pence each in the Company ("Ordinary Shares") have been transferred from the Mulberry Group plc Employee Benefit Trust ("the Trust") to certain Directors as follows:

Following these transfers:

Roger Mather's beneficial interest in the Company consists of 39,362 Ordinary Shares representing 0.07% of the Company's issued Ordinary Shares. Roger Mather also holds vested rights over 250,000 Ordinary Shares under Mulberry's Co-Ownership Plan, 3,253 unvested deferred Ordinary Shares, 3,253 unvested matching nil cost options, 26,964 vested nil cost options all under the Company's Deferred Bonus Plan and 23,090 unvested nil cost options under the Company's Long Term Incentive Plan.

Godfrey Davis' beneficial interest in the Company consists of 718,527 Ordinary Shares representing 1.20% of the Company's issued Ordinary Shares. Godfrey Davis also holds vested rights over 300,000 Ordinary Shares under Mulberry's Co-Ownership Plan, 29,367 vested nil cost options all under the Company's Deferred Bonus Plan and 90,000 options under the Company's 2008 Unapproved Share Option Scheme.
