Ocado Group plc announces publication of circular

London, 2 July 2013

Ocado Group plc announces that it has today posted to its shareholders a circular (the "Circular") seeking shareholder approval for the proposed arrangements with Wm Morrison Supermarkets plc (the "Arrangements"), details of which were previously announced on 17 May 2013.

The Circular contains further details of the Arrangements including, but not limited to, the benefits to shareholders, the risk factors, the key terms of the Arrangements and the financial effects of the proposed Arrangements.

The Circular contains a notice convening a General Meeting of shareholders to be held at One Bunhill Row, London, EC1Y 8YY at 3:00 pm on 18 July 2013, at which approval for the Arrangements will be sought.

This announcement is made pursuant to the requirements of Listing Rule 9.6.3R.  In accordance with Listing Rule 9.6.1R copies of the Circular have been submitted to the UK Listing Authority and will shortly be available for viewing at www.morningstar.co.uk/uk/NSM.
